These terms apply to Progle Ltd (“Progle”, “we”, “us”, “our”) and its website progle-soft.com. By using our website or engaging our services, you agree to the terms below. Our B2B services are offered exclusively to businesses. We also distribute certain digital products to end users via itch.io; those transactions are processed by itch.io under itch.io’s own terms.
Progle provides software development and related professional services on a time-and-materials basis, charged against hours worked by Progle LTD personnel.
All client engagements are governed by an individually negotiated written agreement (a Contract) signed between Progle and the client. Where such an agreement exists, its terms prevail over the terms on this page to the extent of any conflict. The terms on this page apply as a default framework and to any pre-contractual interactions.
Fees are charged at the rates set out in the applicable Statement of Work or order. Invoices are payable within the period stated on the invoice. Card payments processed via Wise are accepted at Progle’s discretion. Late payment may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
Ownership of work product is governed by the signed agreement between the parties. In the absence of a signed agreement, PROGLE retains all rights in pre-existing materials and tools, and grants the client a non-exclusive licence to use deliverables for their internal business purposes upon full payment.
Each party will keep the other’s confidential information confidential and use it only for the purposes of the engagement.
To the fullest extent permitted by law, Progle’s total liability arising out of or in connection with any engagement is limited to the fees paid to Progle for the specific services giving rise to the claim. Progle is not liable for indirect, consequential, special, or loss-of-profit damages. Nothing in these terms limits liability that cannot be limited by law.
These terms and any dispute arising out of them are governed by the laws of Scotland, and the parties submit to the exclusive jurisdiction of the Scottish courts, unless a signed agreement specifies otherwise.
